The Council of Directors


The Council is the governing body of the IIA and is responsible for managing the business and affairs of the IIA. Its role is essentially strategic, while day-to-day management of the organisation is delegated to the Chief Executive. In summary, the Council is responsible for:

  • Determining the IIA’s vision, values and goals
  • Determining the IIA’s strategic objectives and strategic policies
  • Setting the pace for the IIA’s current operations and future development
  • Ensuring that the IIA’s organisational structure and capability are appropriate for implementing the chosen strategies
  • Monitoring and evaluating the implementation of strategies, policies and business plans
  • Ensuring that internal controls are effective
  • Ensuring accountability to members.

Council is the ultimate decision making body in the IIA.  It takes reports from the committees and the executive and makes decisions based on their input and recommendations. 

 


 New IIA Council members appointed

The IIA is pleased to announce that three new Council members have been nominated from amongst its members.

The Institute sought nominations for the three Council vacancies that will arise in Autumn 2011 and, as only three nominations were received, Sean O’Broin, Stuart Silcox and Stephen Ireland will be elected unopposed.

The new Council members will take office following the AGM on 5 October 2011, read their manifestos and biographies below.

The next round of nominations will be in Spring 2012.


Composition of Council

The Council of Directors comprises a maximum of 15 directors. There may be up to four categories of director at any one time:

  • Nine Elected Directors
  • The Chief Executive who is a Director, by right of office.
  • Up to five Directors at Large; and / or
  • Up to three Co-opted Directors.

Elected Directors
Elected Directors are elected by the voting members of the IIA. Elections are held each year, with one third of the Directors standing down in each year. Elected Directors must be voting members.

Directors at Large
Directors at Large, who must be voting members, are nominated by the Council and elected by the membership at the Annual General Meeting.

Co-opted Directors
The Co-opted Directors are appointed by decision of the Council and need not be members of the IIA.

Council meetings

The council meets five times a year and the meeting agendas are prepared by the President.  In preparing the agenda, the President considers:

1. The advice of an informal group comprised of the President, Deputy President, Immediate Past President and the Chief Executive, and other Council members who wish to take part. The group reviews recent Council activities and discussions, checks on action points and discusses the agenda for future meetings.  It has no decision making powers.

2. Any items brought forward by the chairs of the five standing committees 

3. The council standard work programme, available to members on the Council papers page.
